    1. Acceptance of Terms

    By accessing and using Zamtex's services, you accept and agree to be bound by the terms and provision of this agreement.

    2. Description of Service

    Zamtex provides web development, design, and related digital services including but not limited to:

    • Custom website development
    • Web application development
    • UI/UX design services
    • Website maintenance and support
    • Digital consulting services

    3. User Responsibilities

    As a client, you agree to:

    • Provide accurate and complete information
    • Respond to requests for information in a timely manner
    • Review and approve deliverables within specified timeframes
    • Make payments according to agreed terms
    • Respect intellectual property rights

    4. Project Scope and Changes

    Project scope will be defined in a separate project agreement or statement of work. Any changes to the original scope may result in additional costs and timeline adjustments.

    5. Payment Terms

    • Payment schedules will be outlined in project agreements
    • Late payments may incur additional fees
    • Disputed charges must be reported within 30 days
    • Services may be suspended for non-payment

    6. Intellectual Property

    Client-Provided Materials

    You retain ownership of all materials provided to us, including text, images, and other content.

    Developed Work

    Upon full payment, you will own the custom code and designs created specifically for your project. However, we retain rights to:

    • General methodologies and techniques
    • Pre-existing intellectual property
    • Portfolio usage rights for marketing purposes

    7. Warranties and Disclaimers

    We warrant that our services will be performed in a professional manner. However, we cannot guarantee specific results or performance metrics unless explicitly stated in writing.

    8. Limitation of Liability

    Our liability for any claim related to our services shall not exceed the total amount paid for the specific service in question.

    9. Confidentiality

    We agree to maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent.

    10. Project Timelines

    Project timelines are estimates based on the scope and our current workload. Delays may occur due to:

    • Client feedback and revision cycles
    • Scope changes or additions
    • Third-party dependencies
    • Force majeure events

    11. Support and Maintenance

    Post-launch support terms will be specified in separate maintenance agreements. Basic support typically includes:

    • Bug fixes for a specified period
    • Technical support and guidance
    • Security updates and patches

    12. Termination

    Either party may terminate services with written notice. Upon termination:

    • Payment is due for work completed
    • Work in progress will be delivered in its current state
    • Confidentiality obligations continue

    13. Dispute Resolution

    Any disputes will be resolved through good faith negotiation. If resolution cannot be reached, disputes will be subject to binding arbitration.

    14. Force Majeure

    Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, government actions, or other force majeure events.

    15. Governing Law

    These terms are governed by the laws of Kenya, and any disputes will be resolved in the appropriate courts of Kenya.

    16. Changes to Terms

    We reserve the right to modify these terms at any time. Continued use of our services constitutes acceptance of modified terms.
